1. Acceptance and eligibility
These Terms of Service ("Terms") are an agreement between you and we&robot PTE LTD ("Sogni," "we," "our," or "us"). By creating an account, accepting these Terms during purchase, or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.
You must be at least 18 years old or the legal age required to enter into these Terms in your jurisdiction. If you use the Services for an organization, you represent that you can bind that organization, and "you" includes it.
2. Accounts and security
Each person may create, control, and use only one primary, permanent Sogni account. You may use that account across Sogni Services and with multiple legitimate Workers or devices, but operating multiple devices does not permit additional accounts.
You must provide accurate information, may not register with a disposable or temporary email address, and are responsible for your credentials, wallet access, devices, and activity through your account. Notify us promptly if you believe your account has been compromised.
3. The Services
Sogni provides creative-AI and compute services through Sogni-operated systems, community-powered Worker capacity, and selected third parties. Features, models, availability, capacity, and performance may vary by product, location, device, provider, and network conditions.
Unless a separate written service-level agreement expressly says otherwise, the Services are provided on a commercially reasonable, best-efforts basis. We do not guarantee uninterrupted availability, a particular queue time, generation count, output quality, model, throughput, or completion time.
4. AI models and outputs
Generative models are probabilistic. Outputs may be inaccurate, incomplete, unexpected, similar to content generated for others, or unsuitable for your purpose. You are responsible for reviewing outputs before relying on, publishing, or using them and for ensuring your use complies with law and third-party rights.
Many models are open-weight base models or community fine-tunes released under public licenses. Others are operated by third-party vendors. Your use of a model is also subject to its published license, acceptable-use policy, and vendor terms, which may impose attribution, use, or other restrictions. Model information is available at sogni.ai/models. Catalog descriptions are informational, not legal advice or a warranty about an individual model.
We do not promise that an output is eligible for copyright, unique, non-infringing, or suitable for commercial use. Obtain professional advice where appropriate.
5. Plans, trials, and billing
Prices, billing intervals, included features, and applicable taxes are shown before purchase. By starting a paid subscription, you authorize the applicable payment provider to charge the recurring price and taxes at the stated interval until you cancel. Monthly and annual subscriptions renew automatically unless canceled before the next renewal date.
A trial may require a payment method and may convert automatically to a paid subscription on the date and at the price shown during checkout unless you cancel first. Some purchases may skip a trial or use a promotional price. Promotional terms, eligibility rules, duration, and post-promotion price shown at purchase also apply.
You are responsible for accurate billing details and applicable taxes. We may correct pricing or billing errors and may use payment-provider account-updater services. We may change pricing or plan features prospectively, subject to notice, consent, and effective-date requirements imposed by law or the billing platform.
6. Unlimited plans and fair use
"Unlimited" describes eligible access during an active subscription; it does not mean unlimited simultaneous jobs, guaranteed capacity, or unrestricted automated use. Community-powered rendering depends on Worker availability and is subject to fair-use, concurrency, rate, queue, anti-abuse, and technical controls needed to keep the network reliable and reasonably available to members.
Pay-as-you-go comparisons and examples are estimates for understanding plan value. They are not credits, cash value, a service-level commitment, or a guarantee that you will receive a stated multiple of subscription value. Actual value depends on models, settings, capacity, and usage.
7. Cancellation and refunds
You can cancel through the billing platform or the method described in our docs. Cancellation stops future renewal and normally takes effect at the end of the current paid period; it does not ordinarily create a prorated refund.
Purchases, cancellations, and refund requests are governed by the Cancellation and Refund Policy in effect for the transaction, which is incorporated into these Terms. Refunds are generally unlikely after substantial render capacity or completed Services have been consumed. Where permitted by applicable law and payment-provider rules, an approved discretionary refund may reflect non-recoverable transaction costs; we will disclose the proposed amount before processing it.
8. Your content
You retain your rights in content you submit. As between you and Sogni, and to the extent permitted by applicable law and model-specific terms, you own the outputs you generate. You grant us the limited rights needed to host, transmit, process, reproduce, and display your content to provide, secure, support, and troubleshoot the Services.
You represent that you have the rights and permissions needed to submit content and direct us to process it. You are solely responsible for your content, instructions, outputs, and their use. Do not submit confidential or regulated data unless the Service expressly supports it and you have assessed the applicable protections.
9. Acceptable use
You may not use the Services to:
- violate law, these Terms, model terms, or third-party rights;
- create, distribute, or facilitate unlawful, exploitative, hateful, harassing, deceptive, or harmful content;
- exploit, endanger, sexualize, or otherwise harm minors;
- generate or disclose personal data intended to harm, harass, discriminate against, or unlawfully profile a person;
- make fully automated decisions that adversely affect a person's legal rights in high-impact areas without lawful authorization and appropriate human review;
- provide medical diagnosis, treatment instructions, or professional advice as a substitute for a qualified professional;
- attempt unauthorized access, interfere with security, reverse engineer protected systems, distribute malware, or disrupt the Services or network;
- create or use duplicate, throwaway, or additional accounts to evade restrictions or obtain extra usage, rewards, credits, Spark, tokens, referrals, or benefits;
- use bots, fake referrals, spam, fabricated activity, repeated abusive payment disputes, or deceptive tactics to manipulate usage, eligibility, rankings, limits, payments, or rewards;
- use unauthorized automation, abusive API or SDK activity, or manipulate a Worker identity, device, wallet, account, or network activity to gain an unfair advantage; or
- misrepresent AI-generated content in a manner that is fraudulent, deceptive, or unlawful.
10. Workers, wallets, and tokens
Worker participation may be subject to additional hardware, performance, security, eligibility, and rewards rules. You are responsible for your Worker software, systems, electricity, network access, local compliance, and taxes.
A compatible wallet may be created or connected for your account. You are responsible for securing wallet credentials, paying network fees, and complying with laws and tax obligations that apply to tokens. SOGNI tokens are utility tokens intended for use in the Sogni ecosystem. They are not intended as an investment and do not represent ownership, voting rights, or an entitlement to future profits. We make no warranty about future value, liquidity, tradability, or utility.
11. Third-party services
The Services may depend on or link to third-party model providers, app stores, payment processors, blockchains, wallets, and websites. Their terms and policies govern their services. We are not responsible for independent third-party services, and their availability or conduct is outside our control.
12. Enforcement, suspension, and termination
We may investigate suspected violations and take proportionate action, including limiting access, rejecting jobs, withholding or reversing ineligible rewards, removing content, or suspending or terminating accounts, Workers, devices, or wallets. We may recover credits, Spark, points, referral benefits, tokens, or rewards associated with fraudulent, reversed, disputed, or otherwise ineligible activity.
We may suspend access promptly where reasonably necessary to protect the Services, users, network, payment integrity, or legal compliance. You may stop using the Services at any time; billing obligations and provisions that by their nature should survive termination remain in effect.
13. Security research
Security auditing, vulnerability testing, and penetration testing must be coordinated with and authorized by Sogni in writing before testing begins. Uncoordinated testing or attempted unauthorized access may violate these Terms and applicable law.
14. Service changes
We may add, change, suspend, or discontinue features, models, or Services. For a material change that adversely affects an active paid subscription, we will provide notice or a remedy when required by applicable law or the billing platform. We are not responsible for changes made by independent model providers, blockchains, app stores, or other third parties.
15. Disclaimers and limitation of liability
To the fullest extent permitted by law, the Services are provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
To the fullest extent permitted by law, Sogni and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business opportunities. Our aggregate liability arising from the Services or these Terms will not exceed the amount you paid Sogni for the Services giving rise to the claim during the 12 months before the event giving rise to liability. These limitations do not apply where prohibited by law.
16. Governing law and disputes
These Terms are governed by the laws of the Republic of Singapore, without regard to conflict-of-law principles. The parties will first attempt to resolve a dispute through good-faith mediation under the auspices of the Singapore Mediation Centre. If the dispute is not resolved within 30 days, it will be finally settled by arbitration in Singapore under the rules of the Singapore International Arbitration Centre by one arbitrator, in English, with Singapore as the seat of arbitration.
This section does not prevent either party from seeking urgent injunctive relief or using a small-claims forum where eligible, and it does not override mandatory consumer dispute rights that apply in your jurisdiction.
17. Changes to these Terms
We may update these Terms prospectively. We will publish the revised version and its effective date and provide notice or request renewed acceptance when required by law or when a material change warrants it. Continuing to use the Services after the effective date constitutes acceptance where permitted by law. We preserve versioned snapshots when a revised version takes effect. See the current Terms of Service for the version now in effect.
18. General
If a provision is unenforceable, it will be modified only to the extent needed and the remaining provisions will continue. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a corporate transaction or by operation of law. These Terms, incorporated policies, and any service-specific terms are the complete agreement about the Services.
