1. Introduction
‍These Terms and Conditions ("Terms") govern your participation in the SOGNI Token Airdrop ("Airdrop") organized by Sogni.ai ("Sogni"). By participating, you agree to be bound by these Terms.

2. Eligibility
‍To be eligible to participate in the Airdrop:
- You must be at least 18 years of age or the legal age in your jurisdiction.
- You must be a registered user of the Sogni platform.
- You must comply with all applicable laws and regulations in your jurisdiction, including any restrictions on receiving tokens or airdrops.
- Participants from jurisdictions where receiving tokens is prohibited, or where additional regulatory requirements are applicable, are not eligible for this Airdrop. This includes, but is not limited to, jurisdictions such as the United States (if tokens are deemed securities) and China.
- Accounts found engaging in fraudulent activities, such as botting, fake referrals, or spammy farming tactics, will be disqualified from the Airdrop and those wallets will be ineligible. Check the “9. Prohibited Conduct” section below to learn more.

3. Airdrop Overview
The Airdrop will distribute 30,000,000 SOGNI tokens as part of the Sogni TESTNET: PHASE 4.0, our final test phase before TGE (Token Generation Event) and Mainnet launch. Airdrops will start shortly after TGE. This Testnet leaderboard snapshot will be taken at the end of Q2 2025. The date could move closer or move out but will be in the range of "a couple of weeks" based on the coordination of exchange listings and other factors. The latest dates will be published here and in our newsletter: https://news.sogni.ai/sogni-sync/.

Artists, Workers, Referrerers, and Token Stakers, will be ranked on the Sogni Testnet Leaderboard based on their activity with the Sogni Supernet.

4. Ranking Calculation
Artists: Earn rank based on the amount of tSOGNI tokens SPENT on successfully completing image generation jobs.

Relaxed Workers: Earn rank based on the tokens earned completing image renders for Artists on the Relaxed Supernet render network. This network is currently reserved for Macs running Sogni Studio Pro (free) in worker mode. Multiple Macs can work from the same account and combine earnings against the same username on the leaderboard.

Fast Workers: Earn rank based on the tokens earned completing image renders for Artists on the Fast Supernet render network. This network is currently reserved for Nvidia GPUs running the Sogni Docker Worker software for Windows / Linux. Multiple Fast Workers can be run out of the same Sogni Account however leaderboard score is against the NFT Token ID set up for each worker so will show up with separate entries on the leaderboard regardless of account affiliation.
New to TESTNET: PHASE 4.0 - Fast Workers burn ALL their tokens on claim. As we will ensure the Fast Worker leaderboard will be rewarding enough for those dedicating their GPUs, for this Leaderboard we want Artists and Relaxed Workers to have a chance at placing in the Artist Leaderboard.

Referrers: Earn rank in a different way than in TESTNET: PHASE 3.0 to avoid rampant bulk account creation and fake referrals. Each successful signup of another user to Sogni Supernet using your username gives you ZERO testnet tokens and ZERO points on the leaderboard. Instead, each email-verified account gives you a point on the Referrer leaderboard for every batch of images they create for the duration of this testnet phase. Each click of the Imagine button no matter 1-16+ images gives one leaderboard point. So spamming empty accounts or accounts with 1 render each will not be helpful. Daily and frequent image generations by referred users will be key.

Stakers: The Stake-to-Earn leaderboard provides Workers and Referrers with a new method of earning rewards by staking (and permanently burning) $tSOGNI tokens during Testnet Phase 4 — without having to generate images to climb the leaderboard. Once staked, your $tSOGNIs will be permanently removed from circulation and cannot be used to generate images, refer users, or power jobs. Please note that once staked, these tokens cannot be unstaked.

Also updated in this TESTNET Phase:
DAILY BOOST tokens are reduced from: 200 -> 100
VERIFY EMAIL tokens are reduced from: 500 + 75 (on-chain) -> 25 + 25 (on-chain)
REFERRER REWARD tokens are reduced from: 125 -> 0
REFEREE REWARD tokens are reduced from: 125 -> 25

Testnet airdrops for Testnet 4.0 have been extended to include the top 10,000 ranks on each leaderboard. We will attempt to award additional ranks beyond this threshold with participation rewards separate from the main airdrop pool.

For Testnet 3.0 we announced rewards of Testnet Warrior NFT Badges to the top 250 Artists and Workers on each leaderboard. We are extending this reward to the top Testnet 4.0 Artist and Worker leaderboard rankings as well. These NFT Badges will award a permanent boost to job priority for the relevant Artist and Workers.

5. Distribution of Airdrop Tokens
‍The distribution of SOGNI tokens will be based on participants’ rankings on the leaderboard.
The exact amount of SOGNI tokens distributed to each participant will be determined closer to the airdrop date, based on leaderboard rankings.
The Company reserves the right to modify the distribution algorithm or ranking criteria at any time prior to the Airdrop without notice.

6. Token Details
‍The SOGNI Token will be launched with a total supply of 10,000,000,000 tokens. The Airdrop will allocate 30,000,000 tokens for a current sum of 70,000,000 tokens between both phases of TESTNET (Phase 3.0 and Phase 4.0).

The SOGNI tokens distributed in the Airdrop are utility tokens intended for use within the Sogni platform. These tokens are designed to facilitate activities and transactions within the Sogni ecosystem, including accessing features, completing renders, or using platform-specific services.
These tokens are not intended as an investment and do not represent ownership, voting rights, or any entitlement to future profits.

7. Conditions for Receiving Tokens
Participants must have a valid Base-compatible wallet to receive SOGNI tokens. A Base-compatible wallet is automatically created for you for free when you create a Sogni Supernet account. However, you may also use your own non-custodial Base-compatible wallet if preferred. The Airdrop will be conducted on Base, an Ethereum Layer 2 network. Participants are responsible for any gas fees associated with claiming their tokens. They must also ensure compliance with the laws of their jurisdiction regarding receipt, ownership, and holding of tokens, including AML/KYC obligations where applicable.
The Company reserves the right to delay or cancel the Airdrop if unforeseen technical, regulatory, or legal issues arise.

8. Compliance and Taxation
Participants must comply with all respective local laws and regulations related to their receipt of tokens, including any applicable restrictions on token ownership or receipt.
It is the participant's responsibility to determine their tax obligations (if any) related to the Airdrop.
The Company makes no representations regarding the tax consequences of receiving or holding SOGNI Tokens.

9. Prohibited Conduct
‍Any attempt to manipulate, cheat, or otherwise artificially inflate rankings on the Testnet Leaderboard will result in immediate disqualification from the Airdrop and potential account termination.

This includes, but is not limited to, the following unacceptable practices:
- The mass creation of obviously fake accounts including usernames and email addresses with random or nonsensical characters or numeric counters on the same username.
- Use of disposable email addresses that are flagged or lead to inactive or untrustworthy domains.
- Connecting to the Supernet with a large (5-10+) number of obviously related accounts (same exact creation time, same ISPs, same referrals, same pattern of usernames and email addresses).
- Inflating referral counts with fake or inactive users.
- Use of unauthorized automation tools, scripts, or SDK abuse. Any form of automation or "bad faith" attempts to exploit the platform.

Participants engaging in acceptable farming (e.g., running a reasonable number of legitimate accounts, consistent daily engagement, and maintaining fair participation) will not be penalized, but any attempt to exploit the system through deceptive means will lead to disqualification.

The Company reserves the right to disqualify any participant at its sole discretion for any conduct deemed to violate these Terms or the spirit of fair competition.

10. Changes to Terms
‍The Company reserves the right to modify, suspend, or terminate the Airdrop or these Terms at any time, without prior notice.
Any changes to these Terms will be posted on the Company’s official website. Continued participation in the Airdrop constitutes acceptance of any revised Terms.

11. Limitation of Liability
‍The Company shall not be liable for any damages or losses, whether direct, indirect, incidental, or consequential, arising from your participation in the Airdrop, the use of SOGNI Tokens, or any delay or failure in the distribution of tokens.
The Company does not make any representations or warranties about the future value, tradability, or utility of SOGNI Tokens, and participation in the Airdrop should not be considered an investment.
Participants acknowledge that the SOGNI Token may not have liquidity or functionality outside the Sogni platform, and its value is subject to market fluctuations and regulatory factors.

12. Governing Law
These Terms and Conditions and any disputes arising from participation in the SOGNI Airdrop shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to conflict of law principles.
In the event of any dispute, controversy, or claim arising out of or in connection with these Terms or the Airdrop, the parties shall first attempt to resolve the matter through good faith mediation under the auspices of the Singapore Mediation Centre (SMC).
If the dispute cannot be resolved through mediation within thirty (30) days, it shall be referred to and finally settled by arbitration in Singapore in accordance with the rules of the Singapore International Arbitration Centre (SIAC). The tribunal shall consist of one arbitrator, and the language of arbitration shall be English. The seat of arbitration shall be Singapore.
